General Conditions contain information about our services as well as the rights and obligations of the GmbH and its customer. They form an integral part of the offers and contracts between the GmbH and its customer. Available in English, German, French, and in pdf.
1 Scope of application
1.1 Framework
These General Conditions (GC) apply to the provision of services (consulting, valuation, and transport) by Héritage automobile GmbH (contractor, hereinafter referred to as GmbH) as well as to the contracts between the GmbH and its customer (client, hereinafter referred to as customer). These GC form an integral part of the GmbH's offers and contracts; customer's existing GC do not apply.
1.2 Form
All offers of the GmbH and all contracts between the GmbH and the customer (including subsequent amendments and extensions) require, in order to be valid, digital written form (file or email) with the corresponding signatures.
1.3 Applicable law
All offers of the GmbH and all contracts between the GmbH and the customer are governed by Swiss law. The exclusive place of jurisdiction for all disputes in connection with offers and contracts is Glarus Nord.
2 Services
2.1 Of the GmbH
2.1.1 Performance of the contract
The GmbH undertakes to perform the contract in a diligent and professional manner. It regularly informs the customer about the progress of the performance of the contract. The customer has the right at any time to obtain information about all parts of the contract.
The GmbH shall inform the customer without delay of any circumstances that may impair the performance of the contract as soon as they become known.
Services that go beyond the agreed scope of services but are relevant to protecting the interests of the customer shall be additionally paid for by the customer. The GmbH shall promptly inform the customer about the extended scope of services and the resulting costs.
2.1.2 Deadline and invoicing
Compliance with the agreed deadline by the GmbH presupposes the timely fulfilment of all obligations of the customer. Invoicing shall take place after acceptance of the results of the contract by the customer.
2.2 Of the customer
2.2.1 Access to documentation
The customer shall provide the material required for the provision of the service and the necessary documentation.
2.2.2 Accuracy of documentation
The GmbH assumes that the provided documentation is complete and accurate. Unless expressly agreed otherwise, the GmbH is not obliged to verify the accuracy, completeness or any possible inconsistencies of this documentation.
2.2.3 Duty to inspect and give notice of defects
The customer shall inspect the results of the contract without delay and notify the GmbH in writing of any objections within 48 hours of receipt. Failing this, the results of the contract shall be deemed accepted. In the event of a justified objection, the GmbH shall correct the results of the contract at its expense.
2.2.4 Delay
The customer shall be in default of payment if they delay the due payment despite a reminder or fail to fulfil their payment obligation in whole. Upon expiry of the payment deadline of the first reminder, the customer shall owe the GmbH, in addition to the invoiced amount, statutory default interest of 5%.
3 Liability
3.1 Consulting and evaluation
If GmbH has evaluated a vehicle or parts thereof on behalf of the customer, it shall not be liable for hidden defects or damage to the vehicle or parts thereof. Liability for slight negligence is excluded. The responsibility for implementing or omitting measures developed and recommended by GmbH lies exclusively with the customer.
All information, whether from the GmbH's own sources or provided by the customer, is prepared in behalf of the customer with due care to the best of the GmbH's knowledge. However, the GmbH does not guarantee the accuracy or completeness thereof.
The total liability of the GmbH is limited to the amount of the agreed fee. This limitation applies to all types of damage, regardless of the respective legal basis.
3.2 Transport
The condition of the transported vehicle on behalf of the customer shall be documented before and after transport by the GmbH. The vehicle is insured by the GmbH for a contractually defined value. No liability shall be assumed beyond this value.
4 Data
4.1 Use
The generated data is intended for the use and general information of the customer. It may only be used for a purpose other than that agreed in the contract after prior consultation with the GmbH.
4.2 Confidentiality
The GmbH as well as any third parties engaged undertake to treat all generated data on behalf of the customer confidentially and not to make it accessible to third parties without the customer's consent.
4.3 Own use
The GmbH reserves the right to freely use the generated data on behalf of the customer and the data provided by the customer for its own purposes, provided that no conclusions about the customer can be drawn by third parties.
4.4 Reference
Upon request, the customer grants the GmbH the right to include the customer in the GmbH's reference list and to name the customer as a reference. The customer may revoke this right at any time.
1 Champ d'application
1.1 Cadre
Les présentes conditions générales (CG) s'appliquent à la fourniture de prestations (conseil, estimation et transport) de Héritage automobile GmbH (preneur d'ordre, ciaprès dénommé GmbH) ainsi qu'aux contrats entre la GmbH et son client (donneur d'ordre, ciaprès dénommé client). Les présentes CG constituent une partie intégrante des offres et contrats de la GmbH; les CG existantes du client ne s'appliquent pas.
1.2 Forme
Toutes les offres de la GmbH et tous les contrats entre la GmbH et le client (y compris modifications et extensions ultérieures) requièrent, pour être valables, la forme écrite numérique (fichier ou courriel) avec les signatures correspondantes.
1.3 Droit applicable
Toutes les offres de la GmbH et tous contrats entre la GmbH et le client sont soumis au droit suisse. Le for exclusif pour tous les litiges en lien avec les offres et contrats est Glarus Nord.
2 Prestations
2.1 De la GmbH
2.1.1 Exécution du mandat
La GmbH s'engage à exécuter le mandat de manière sérieuse et diligente. Elle informe régulièrement le client de l'avancement de l'exécution du mandat. Le client dispose à tout moment d'un droit d'information sur toutes les parties du mandat.
La GmbH informe le client, sans délai après en avoir eu connaissance, de toutes les circonstances susceptibles de compromettre l'exécution du contrat.
Les prestations, qui dépassent le cadre des prestations convenues, mais qui sont pertinentes pour la préservation des intérêts du client, doivent être rémunérées en sus par le client. La GmbH informe immédiatement le client de l'extension des prestations et des coûts qui en résultent.
2.1.2 Délai et facturation
Le respect du délai convenu par la GmbH suppose l'exécution dans les délais de toutes les prestations du client. La facturation intervient après l'acceptation des résultats du mandat par le client.
2.2 Du client
2.2.1 Accès à la documentation
Le client met à disposition le matériel nécessaire à la fourniture de la prestation ainsi que la documentation requise.
2.2.2 Exactitude de la documentation
La GmbH part du principe que la documentation mise à disposition est complète et exacte. Sauf accord exprès contraire, la GmbH n'est pas tenue de vérifier l'exactitude, l'exhaustivité ou d'éventuelles contradictions de cette documentation.
2.2.3 Obligation de contrôle et de réclamation
Le client est tenu de vérifier immédiatement les résultats du mandat et de notifier par écrit à la GmbH toute réclamation éventuelle dans un délai de 48 heures après réception. A défaut, les résultats du mandat sont réputés acceptés. En cas de réclamation justifiée, la GmbH corrige les résultats du mandat à ses frais.
2.2.4 Retard
Le client est en retard de paiement s'il diffère le paiement exigible malgré un rappel ou s'il ne s'acquitte pas. A l'expiration du délai de paiement du premier rappel, le client doit à la GmbH, outre le montant de la facture, l'intérêt moratoire légal de 5%.
3 Responsabilité
3.1 Conseil et estimation
Si la GmbH a évalué un véhicule ou des pièces de celui-ci pour le compte du client, elle n'est pas responsable des vices cachés ou des dommages sur le véhicule ou des pièces de celui-ci. La responsabilité pour négligence légère est exclue. La responsabilité de la mise en œuvre ou de l'omission des mesures élaborées et recommandées par la GmbH incombe exclusivement au client.
Toutes les informations, provenant de sources propres ou mises à disposition par le client, sont traitées avec soin par la GmbH selon sa meilleure connaissance et selon le mandat du client. La GmbH ne garantit toutefois ni leur exactitude ni leur exhaustivité.
La responsabilité globale de la GmbH est limitée au montant des honoraires convenus. Cette limitation s'applique à tout type de dommage, quel que soit le fondement juridique.
3.2 Transport
L'état du véhicule transporté pour le client est consigné avant et après le transport par la GmbH. Le véhicule est assuré par la GmbH pour une valeur contractuellement définie. Au-delà de cette valeur, aucune responsabilité n'est assumée.
4 Données
4.1 Utilisation
Les données issues du mandat sont destinées à l'usage et à l'information générale du client. Elles ne peuvent être utilisées à une autre fin que celle convenue dans le mandat qu'après accord préalable de la GmbH.
4.2 Confidentialité
La GmbH ainsi que les tiers éventuellement mandatés s'engagent à traiter toutes les données issues du mandat de manière confidentielle et à ne pas les rendre accessibles à des tiers sans le consentement du client.
4.3 Propre utilisation
La GmbH se réserve le droit d'utiliser, librement et à des fins propres, les données issues du mandat et celles mises à disposition par le client, pour autant qu'aucune déduction permettant d'identifier le client ne soit possible pour des tiers.
4.4 Référence
Sur demande, le client accorde à la GmbH le droit de l'inscrire sur la liste des références de la GmbH et de le citer comme référence. Le client peut révoquer ce droit à tout moment.
1 Geltungsbereich
1.1 Rahmen
Diese allgemeinen Geschäftsbedingungen (AGB) gelten für die Leistungserbringung (Beratung, Schätzung und Transport) der Héritage automobile GmbH (Auftragnehmerin, nachfolgend GmbH) sowie für die Verträge zwischen der GmbH und ihrem Kunden (Auftraggeber, nachfolgend Kunden). Diese AGB bilden einen integralen Bestandteil der Angebote und Verträge der GmbH; bestehende AGB des Kunden finden keine Anwendung.
1.2 Form
Alle Offerten der GmbH und alle Verträge zwischen der GmbH und dem Kunden (inklusiv nachträgliche Änderungen und Erweiterungen) bedürfen zu ihrer Gültigkeit der digitalen Schriftform (Datei oder EMail) mit entsprechenden Unterschriften.
1.3 Anwendbares Recht
Alle Offerten der GmbH und alle Verträge zwischen der GmbH und dem Kunden unterstehen Schweizerischem Recht. Für sämtliche Streitigkeiten im Zusammenhang mit Offerten und Verträgen gilt als ausschliesslicher Gerichtsstand Glarus Nord.
2 Leistungen
2.1 Der GmbH
2.1.1 Auftragserfüllung
Die GmbH verpflichtet sich zu einer seriösen und sorgfältigen Auftragserfüllung. Sie informiert den Kunden regelmässig über den Fortschritt der Auftragserfüllung. Dem Kunden steht jederzeit ein Auskunftsrecht über alle Teile des Auftrags zu.
Die GmbH informiert den Kunden über alle Umstände, welche die Auftragserfüllung beeinträchtigen können, unverzüglich nach deren Bekanntwerden.
Leistungen, die über den vereinbarten Leistungsumfang hinausgehen, aber für die Wahrung der Interessen des Kunden relevant sind, sind durch den Kunden zusätzlich zu bezahlen. Die GmbH informiert den Kunden umgehend über den erweiterten Leistungsumfang und die dadurch anfallenden Kosten.
2.1.2 Frist und Rechnungstellung
Die Einhaltung der vereinbarten Frist durch die GmbH setzt die termingerechte Erfüllung aller Leistungen des Kunden voraus. Nach der Abnahme der Auftragsergebnisse durch den Kunden erfolgt die Rechnungsstellung.
2.2 Des Kunden
2.2.1 Zugang zur Dokumentation
Der Kunde stellt das für das Erbringen der Leistung erforderliche Material und die nötige Dokumentation zur Verfügung.
2.2.2 Korrektheit der Dokumentation
Die GmbH geht davon aus, dass die zur Verfügung gestellte Dokumentation vollständig und korrekt ist. Sofern nichts Anderes ausdrücklich vereinbart ist, ist die GmbH nicht verpflichtet, diese Dokumentation auf ihre Richtigkeit, Vollständigkeit oder auf allfällige Widersprüche zu überprüfen.
2.2.3 Prüfungs- und Rügepflicht
Der Kunde hat die Auftragsergebnisse unverzüglich zu prüfen und innert 48 Stunden nach Erhalt allfällige Beanstandungen der GmbH schriftlich bekannt zu geben. Unterlässt er dies, gelten die Auftragsergebnisse als abgenommen. Im Falle einer berechtigten Beanstandung bessert die GmbH die Auftragsergebnisse auf eigene Kosten nach.
2.2.4 Verzug
Der Kunde gerät in Zahlungsverzug, wenn er die fällige Zahlung trotz Mahnung verzögert oder seiner Zahlungsverpflichtung insgesamt nicht nachkommt. Nach Ablauf der Zahlungsfrist der ersten Mahnung schuldet der Kunde der GmbH nebst dem Rechnungsbetrag den gesetzlichen Verzugszins von 5%.
3 Haftung
3.1 Beratung und Schätzung
Hat die GmbH im Auftrag des Kunden ein Fahrzeug oder Teile davon evaluiert, haftet sie nicht für versteckte Defekte oder Schäden am Fahrzeug oder Teilen davon. Die Haftung für leichte Fahrlässigkeit wird wegbedungen. Die Verantwortung für die Durchführung oder der Unterlassung von Massnahmen, die dei GmbH erarbeitet und empfohlen hat, liegt ausschliesslich beim Kunden.
Alle Informationen, aus eigenen Quellen oder vom Kunden zur Verfügung gestellt, werden gemäss Auftrag des Kunden von der GmbH nach bestem Wissen sorgfältig aufbereitet. Die GmbH übernimmt jedoch keine Garantie für deren Korrektheit oder Vollständigkeit.
Die Haftung der GmbH wird insgesamt begrenzt auf die Höhe des vereinbarten Honorars. Diese Begrenzung gilt für jede Art von Schäden, unabhängig des jeweiligen Rechtsgrunds.
3.2 Transport
Der Zustand des im Auftrag des Kunden transportierten Fahrzeugs wird vor und nach dem Transport von der GmbH protokolliert. Das Fahrzeug ist von der GmbH für einen vertraglich festgelegten Wert versichert. Über diesen Wert hinaus wird keine Haftung übernommen.
4 Daten
4.1 Verwendung
Die generierten Daten sind für den Gebrauch und zur allgemeinen Information des Kunden bestimmt. Sie dürfen nur nach Rücksprache mit der GmbH zu einem anderen als im Auftrag vereinbarten Zweck verwendet werden.
4.2 Vertraulichkeit
Die GmbH sowie allfällig beigezogene Dritte verpflichten sich, alle im Auftrag des Kunden generierten Daten vertraulich zu behandeln und ohne das Einverständnis des Kunden nicht Dritten zugänglich zu machen.
4.3 Eigene Verwendung
Die GmbH behält sich vor, die im Auftrag des Kunden generierten Daten und die vom Kunden zur Verfügung gestellten Daten für eigene Zwecke frei zu verwenden, sofern für Dritte keine Rückschlüsse auf den Kunden möglich sind.
4.4 Referenz
Auf Anfrage räumt der Kunde der GmbH das Recht ein, den Kunden in die GmbH-Referenzliste aufzunehmen und den Kunden als Referenz zu benennen. Der Kunde kann dieses Recht jederzeit widerrufen.
